1. Parties and Acceptance

These Terms of Service ("Terms") govern access to and use of the IPI Terminal platform and related services (collectively, the "Platform") operated by Human IP SARL, a Swiss limited liability company registered under the laws of Switzerland, with its registered office in Geneva, Switzerland ("Human IP," "we," "us," or "our").

By accessing or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms. If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of Services

IPI Terminal is an artificial intelligence-assisted patent intelligence and valuation platform that provides:

Patent scoring and analysis using the proprietary Humanity Impact Score (HIS) methodology
Preliminary patent valuation reports based on IVS-aligned Relief-from-Royalty discounted cash flow methodology
Patent screener and search tools for indexed patent databases
Ownership verification services through third-party identity verification providers
Investor intelligence tools for qualified investors

2.1 Nature of Outputs

All outputs generated by the Platform, including but not limited to valuation estimates, HIS scores, grade classifications, Monte Carlo simulation results, licensing rate references, tokenization readiness assessments, market projections, and AI-generated investment analyses, are algorithmic estimates based on modeled assumptions and publicly available third-party data. They are not verified professional opinions, certified appraisals, legal opinions, or investment advice.

The Platform is not a registered investment adviser, broker-dealer, financial institution, or law firm. Nothing on the Platform constitutes:

A formal patent appraisal or certified valuation under ASA, IVSC, or IRS standards
A legal opinion on patent validity, enforceability, infringement, freedom-to-operate, or ownership
Investment advice, a securities recommendation, or a solicitation to buy, sell, or hold any asset
A guarantee of any particular market value, licensing outcome, or commercial result

2.2 IVS Alignment Disclosure

Where the Platform references International Valuation Standards (IVS 210), such reference indicates that the Platform's methodology is informed by IVS 210 principles. The Platform does not claim full IVS 210 compliance or certification. IVS 210 does not prescribe specific royalty rates, discount rates, or valuation formulas; compliance with IVS 210 requires transparent disclosure of all assumptions, which is provided in the Platform's report documentation.

3. User Accounts and Plans

3.1 Registration

To access most Platform features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Plans and Access Tiers

The Platform offers multiple subscription tiers (Free, Starter, Pro, Enterprise) with different access levels, feature sets, and usage limits as described on the pricing page at ipiterminal.com/pricing. Human IP reserves the right to modify plan features, limits, and pricing with reasonable notice.

3.3 Report Download Limits

Basic Valuation Reports are subject to download limits based on your subscription tier:

Free: No Basic Report downloads
Starter: One (1) Basic Report per thirty (30) day rolling period
Pro: One (1) Basic Report per seven (7) day rolling period
Enterprise: Unlimited Basic Report downloads

Enhanced Reports ($3,500), Investor-Grade Reports ($8,500), and Ownership Verification ($299) are available as one-time purchases regardless of subscription tier, subject to plan eligibility requirements.

4. Payments and Refunds

4.1 Payment Processing

All payments are processed by Stripe, Inc. By completing a purchase, you agree to Stripe's terms of service. Human IP does not store credit card information.

4.2 One-Time Purchases

Report purchases (Enhanced Report, Investor-Grade Report, Ownership Verification) are non-refundable once the service has been initiated or the report has been generated or delivered. If a technical failure prevents delivery of a purchased service, Human IP will either re-deliver the service or issue a credit at its discretion.

4.3 Subscriptions

Subscriptions renew automatically at the end of each billing period. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused subscription periods.

4.4 Enterprise Subscriptions

Enterprise subscriptions may be subject to separate commercial agreements. Contact sales for custom terms.

5. Intellectual Property

5.1 Platform Content

All Platform content, including but not limited to the HIS scoring methodology, report templates, software, algorithms, databases, and documentation, is the proprietary intellectual property of Human IP SARL or its licensors. Nothing in these Terms grants you any ownership interest in the Platform or its content.

5.2 Patent Data

Patent data displayed on the Platform is sourced from public databases including the United States Patent and Trademark Office (USPTO), the European Patent Office (EPO), the World Intellectual Property Organization (WIPO), and Google Patents Public Data. Human IP does not claim ownership of underlying patent documents, which are in the public domain or owned by their respective assignees.

5.3 Your Content

You retain ownership of any data, documents, or information you submit to the Platform. By submitting content, you grant Human IP a limited, non-exclusive license to use that content solely to provide and improve the Platform services, subject to the Privacy Policy.

6. Prohibited Uses

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable regulation
Attempt to access, scrape, or extract data from the Platform through automated means without prior written authorization
Reverse engineer, decompile, or attempt to extract source code from the Platform
Use outputs from the Platform to mislead investors, regulators, or counterparties about patent values
Submit false or misleading information in connection with Ownership Verification services
Circumvent any access controls, rate limits, or plan restrictions
Use the Platform to facilitate market manipulation, fraud, or securities violations
Share account credentials or allow unauthorized third parties to access your account

7. Securities and Investment Disclaimer

IMPORTANT - READ CAREFULLY

The Platform may display information related to patent tokenization, fractional IP ownership, and the NFP Protocol. Such information is provided for informational purposes only.

Nothing on the Platform constitutes an offer or solicitation to purchase or sell any security, digital asset, or investment product. Any investment in tokenized patent interests may constitute a security under applicable law, including but not limited to United States securities laws (Securities Act of 1933, as amended), Canadian securities laws (National Instrument 45-106), and Swiss financial market regulations.

Participation in any tokenization or fractionalization offering must be conducted in compliance with applicable securities laws. Human IP relies on available private placement exemptions (including Regulation D under the Securities Act and NI 45-106 in Canada) for any token-related offerings, which are limited to verified accredited investors in applicable jurisdictions.

Retail investors in the United States and Canada are not eligible to participate in Phase 1 token offerings. Geographic and eligibility restrictions apply.

Investment decisions should be made only after consulting with qualified legal, financial, and technical advisors.

8. Jurisdiction-Specific Provisions

8.1 United States

For users located in the United States, the Platform's patent valuation services are not registered or approved by the Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator. Patent valuation reports are preliminary AI-generated estimates, not appraisals prepared by a Certified Valuation Analyst (CVA) or Member of the American Society of Appraisers (ASA).

8.2 Canada

For users located in Canada, the Platform's services are not registered with the Canadian Securities Administrators (CSA), the Autorité des marchés financiers (AMF), or any provincial securities regulator. Patent valuation services do not constitute a securities-related activity subject to dealer or adviser registration under applicable Canadian securities legislation.

8.3 Switzerland and European Union

Human IP SARL is organized under Swiss law and operates under the oversight of Swiss regulatory authorities. The Platform's patent data services do not constitute financial services regulated by the Swiss Financial Market Supervisory Authority (FINMA) or subject to the EU Markets in Crypto-Assets Regulation (MiCA) unless expressly stated.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Human IP SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if Human IP has been advised of the possibility of such damages.

Human IP's total aggregate liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the greater of: (a) the amounts paid by you to Human IP in the twelve (12) months preceding the claim, or (b) one hundred Swiss francs (CHF 100).

The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless Human IP SARL, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you submit to the Platform.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to its conflict of law principles. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Canton of Geneva, Switzerland.

Notwithstanding the foregoing, Human IP reserves the right to seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

12. Changes to Terms

Human IP reserves the right to modify these Terms at any time. We will provide reasonable notice of material changes by posting updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms.

13. Termination

Human IP may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other legitimate business reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately.

14. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Human IP regarding the Platform.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms without Human IP's prior written consent. Human IP may assign its rights without restriction.

Language: These Terms are written in English. In the event of any conflict between an English version and any translation, the English version controls.
